1. Sponsor and Participating Organizations

The 2026 Concept to Comic™ Giveaway (“Promotion”) is sponsored and administered by Metal Ninja Studios, Inc., 1370 N. US Highway 1, Suite 203, Ormond Beach, Florida 32174 (“Sponsor” or “MNS”).

Questions concerning the Promotion may be directed to joelrodriguez@metalninjastudios.com.

Legends Publishing, LLC (“Publishing Partner” or “Legends”) provides the publishing-agreement offer and associated editorial consideration described in these Official Rules.

MNS is responsible for administering the Promotion and providing the comic-production and MNS-hosted convention benefits expressly described below. Legends is responsible for its expressly stated publishing-related commitments, with any publication governed by a separately executed publishing agreement.

Baltimore Comic-Con provides promotional support but does not administer the Promotion, select the winner, or undertake responsibility for fulfilling the Prize. All convention admission, hosting, booth participation, and other convention benefits promised through this Promotion are provided by MNS.

2. Promotion Period

The Promotion begins on September 25, 2026, at 10:00 a.m. Eastern Time and ends on September 27, 2026, at 4:00 p.m. Eastern Time (“Promotion Period”).

For this Promotion, Eastern Time is Eastern Daylight Time, UTC−04:00.

All required entry steps, including email confirmation, must be completed before the Promotion Period ends. Entries, confirmations, and bonus-entry activities completed outside the Promotion Period will not count.

The electronic records maintained for the Promotion will be used to determine entry and confirmation times, subject to verification and correction of demonstrable errors.

3. Eligibility

The Promotion is open to legal residents of the 50 United States and the District of Columbia who are at least 18 years old at the time of entry.

Employees, officers, directors, contractors, and agents of MNS or Legends, and individuals directly involved in administering or fulfilling the Promotion, are not eligible. Their immediate family members and members of their households are also ineligible.

For these purposes, “immediate family” means a spouse or domestic partner, parent, child, or sibling, including adoptive and step relationships. “Household members” means individuals who share the same residence, whether related or not.

Individuals who are existing Concept to Comic™ clients of MNS as of September 25, 2026, at 10:00 a.m. Eastern Daylight Time (UTC−04:00) are not eligible. For this exclusion, an existing Concept to Comic™ client is an individual with a signed Concept to Comic™ production agreement for an engagement that has not been completed or terminated as of that time. This includes contracted engagements for which production has not yet begun.

This exclusion applies only to Concept to Comic™ production clients. Purchasing other MNS services or products does not, by itself, make an individual ineligible. An otherwise eligible individual who first becomes a Concept to Comic™ client after the Promotion begins will not be disqualified on that basis. Ending an existing Concept to Comic™ engagement after the Promotion begins does not remove this exclusion.

Entries must be submitted by individuals on their own behalf. An entrant may not use multiple identities, email addresses, accounts, or other methods to circumvent the entry limit.

Convention attendance, purchasing convention admission, purchasing MNS services, and having a particular project budget are not eligibility requirements.

The Promotion is subject to applicable federal, state, and local laws and regulations and is void where prohibited by law.

4. How to Enter and Entry Limits

4.1 Official Entry Form

During the Promotion Period, complete the official entry form on Sponsor’s 2026 Concept to Comic™ Giveaway landing page (“Promotion Page”), provide accurate required information, and follow the email-confirmation instructions.

The entry form may be accessed through Sponsor’s public promotional link, a promotional QR code, or a device provided by Sponsor.

The public online entry method does not require convention attendance or the purchase of a convention ticket.

No paper entries will be accepted.

4.2 Required Email Confirmation

Double opt-in is required. Submitting the form alone does not complete an entry.

After submitting the form, the entrant must confirm the email address through the confirmation process provided by Sponsor.

Both the form submission and email confirmation must be completed before 4:00 p.m. Eastern Time on September 27, 2026. An unconfirmed registration is not eligible for the drawing, including any associated bonus entries.

Entrants are responsible for providing a working email address and checking their inbox and spam or junk folders for the confirmation message. A request to resend a confirmation email does not create another entry or extend the deadline.

4.3 Base Entry and Bonus Entries

Each eligible entrant may receive one (1) base entry after completing the required entry and confirmation steps.

Entrants may earn additional entries through the free referral or bonus-entry activities expressly offered through the official campaign interface. The requirements for each activity and the number of entries awarded will be displayed with that activity. Those instructions form part of these Official Rules and remain subject to the limits and safeguards stated here.

Only activities expressly identified as earning entries will qualify. Sharing a link, clicking a button, or performing an unlisted action does not independently create an entry.

Where bonus entries depend on a referred person entering, that person must independently satisfy the eligibility, registration, and email-confirmation requirements before the Promotion Period ends. Self-referrals, duplicate registrations, fabricated identities, and fraudulent referrals do not qualify.

No bonus entry may be earned by purchasing a product or service or making a payment.

4.4 Maximum Entries and Drawing Weight

The maximum is fifty (50) total entries per person, including the base entry and all bonus entries combined.

This is not a limit of fifty bonus entries in addition to the base entry.

Each valid entry adds one (1) entry to that entrant’s tally and represents one equally weighted chance in the drawing pool. No entrant may have more than fifty valid entries counted in the drawing.

Activities completed after reaching the fifty-entry limit do not increase the entrant’s drawing weight.

Entries may not be sold, transferred, combined between individuals, or reassigned to another entrant.

4.5 Referral Conduct and Entry Integrity

Entrants must comply with applicable laws and the rules of any platform used to share the Promotion. Referral communications must clearly disclose that the entrant may receive additional giveaway entries from qualifying referrals.

Entrants may not use unsolicited bulk messaging, bots, automated registration tools, fabricated accounts, purchased entries, or other deceptive methods to generate entries.

Sponsor may verify entries and remove entries that are ineligible, duplicate, fraudulent, unsupported, or obtained in violation of these Official Rules. Intentional manipulation may result in disqualification of the entrant.

The use of a shared household connection, convention Wi-Fi, or a Sponsor-provided device does not, by itself, establish fraud or duplication.

4.6 Qualification Questions

Answers about an entrant’s budget, project stage, creative goals, or interest in paid services do not affect eligibility, entry weight, or chances of winning.

The Promotion is not judged on creative merit, commercial potential, purchasing capacity, or willingness to become an MNS client.

5. Grand Prize and Included Benefits

One (1) grand prize (“Prize”) will be awarded, consisting of the following components.

5.1 Concept to Comic™ Production

MNS will provide professional Concept to Comic™ production services for one single-issue comic containing twenty-four (24) interior pages, based on the winner’s legally usable original concept or source material.

Included production comprises story development and scripting, professional illustration, coloring, lettering, production design, and delivery of the completed digital and print-ready comic files.

The production award includes two (2) cover designs total.

A Baltimore Comic-Con 2027 exclusive-cover version is included in the convention presentation described below. That version may incorporate one of the two included cover designs; the Prize does not guarantee a third separately commissioned cover design.

The Prize is limited to one comic issue. It does not include an unlimited adaptation of an entire novel, a complete multi-issue series, additional issues, or an open-ended production engagement.

MNS and the winner will establish an appropriate single-issue scope through the production process. No purchase of additional issues or services is required to receive the included production.

5.2 Creator Crate

The winner will receive one (1) Creator Crate containing twenty (20) printed copies of the completed comic in total.

The twenty-copy allocation applies across the included cover versions collectively. It does not mean twenty copies of each cover.

No additional physical copies, separate inventory allocation, original artwork, or merchandise are guaranteed as part of the production award.

5.3 Legends Publishing Agreement Offer

Legends will offer the winner a publishing agreement for the completed comic, subject to Legends’ editorial content requirements and the terms of the proposed agreement.

Legends may provide editorial feedback identifying changes necessary for the comic to meet its publication requirements. The winner may elect to make those changes or decline them.

Declining Legends’ requested editorial changes does not forfeit the Concept to Comic™ production award. MNS will continue producing the winner’s comic within the agreed production scope, provided the material may lawfully be produced and does not infringe third-party rights.

The winner may also decline to sign the Legends publishing agreement without forfeiting the Concept to Comic™ production award.

Publication through Legends requires acceptance and execution of the publishing agreement and satisfaction of its applicable requirements. The Prize does not promise publication by Legends when the winner declines that agreement or declines changes necessary for publication.

Any publishing agreement will separately define the rights granted to Legends, the exclusive publishing term, and the applicable publication and financial terms. Entering or winning this Promotion does not itself grant Legends publishing rights.

5.4 Baltimore Comic-Con 2027 Benefits

MNS will provide the following benefits for the winner in connection with Baltimore Comic-Con 2027:

• A Baltimore Comic-Con exclusive-cover presentation of the comic.
• Featured project placement at the Metal Ninja Studios booth.
• An opportunity for the winner to sign copies as an MNS featured creator at the MNS booth.
• Admission for the winner to Baltimore Comic-Con 2027 and the 2027 Ringo Awards Ceremony.

Signing times and booth arrangements will be coordinated by MNS with the winner.

The winner will participate as a featured creator hosted by Metal Ninja Studios, not as an official guest of Baltimore Comic-Con. The Prize does not include an independent exhibitor booth, official convention guest designation, award nomination, or award.

Admission benefits are for the winner only. Admission for companions or additional project contributors is not included.

Travel, lodging, transportation, parking, meals, and other personal or incidental expenses are not included.

5.5 Convention Content Requirements and Attendance

Convention display, promotional materials, and signing activities must comply with applicable event and venue content requirements and conduct policies.

MNS will communicate any applicable content issue affecting the promised convention presentation and give the winner an opportunity to address it. If the winner declines changes required for a particular convention activity, that activity may not proceed. A restriction affecting convention presentation does not, by itself, cancel the comic-production award.

Declining the Legends publishing agreement does not, by itself, cancel the MNS-provided convention benefits.

If the winner cannot attend, the attendance-dependent benefits the winner cannot use will lapse. The winner’s inability to attend does not cancel comic production or publication proceeding under an executed Legends agreement.

If Baltimore Comic-Con 2027 or the 2027 Ringo Awards Ceremony is canceled, the benefits dependent on the canceled event will lapse, subject to applicable law. Comic production, including the two cover designs and Creator Crate, will continue. Publication proceeding under an executed Legends agreement will remain governed by that agreement.

Unused or canceled event benefits do not automatically transfer to another year and are not redeemable for cash, except where required by law.

5.6 Prize Restrictions

The Prize consists of the services, items, and opportunities expressly described in these Official Rules. It is not a cash award and is not redeemable for cash, credit, or reimbursement.

The right to receive the Prize is non-transferable. This restriction does not eliminate the winner’s ownership rights in the completed comic or physical copies after delivery, subject to any separately granted publishing rights.

No particular sales results, crowdfunding outcome, audience size, retailer orders, royalties, commercial success, or award recognition are guaranteed.

Optional services outside the Prize require a separate agreement. Declining optional services will not reduce the included Prize.

6. Random Drawing, Odds, and Winner Notification

One (1) potential winner will be selected by a random drawing from the valid entry pool after the Promotion Period closes on September 27, 2026, at 4:00 p.m. Eastern Time.

The drawing will use the valid entry tally for each entrant, subject to the fifty-entry maximum.

Each valid entry has an equal chance of selection. An entrant with multiple valid entries has correspondingly more chances than an entrant with one valid entry. The winner is not selected by highest score, highest referral count, creative merit, or Sponsor preference.

An entrant’s chances depend on the number of valid entries credited to that entrant and the total number of valid entries in the drawing pool.

The selected entrant is a potential winner until eligibility, entry validity, and acceptance are verified.

Sponsor will notify the potential winner through the email address used to enter. The potential winner must respond within five (5) business days after the notification is sent.

Sponsor may announce the potential or verified winner at the MNS booth or through Sponsor’s promotional channels. A public announcement does not replace required verification.

The potential winner does not need to be present at the convention or announcement to win. The same response and verification requirements apply whether the potential winner is present or absent.

If a potential winner is ineligible, declines the core Prize, fails to respond within the stated period, or does not complete required verification, Sponsor may select an alternate through another random drawing from the remaining valid entry pool.

Declining the optional Legends agreement or being unable to attend the 2027 convention is not a basis for forfeiting the production award.

7. Winner Verification and Production Fulfillment

7.1 Verification Documents

Before the Prize is confirmed, the potential winner must provide reasonable documentation requested by Sponsor to verify identity, age, residence, entry validity, and eligibility.

The potential winner must complete an Affidavit of Eligibility and Prize Acceptance, an applicable liability and publicity release where lawful, and an IRS Form W-9 or other appropriate tax documentation.

Requested verification documents must be returned within five (5) business days after Sponsor provides them, unless Sponsor grants a reasonable written extension.

Sponsor will request sensitive verification and tax information through a nonpublic submission method. Such information is not required through a public social-media post.

Verification will concern compliance with these Official Rules. It will not be used to substitute subjective creative or commercial judgment for the random drawing.

7.2 Production Agreements

The verified winner must execute the necessary prize-specific production agreements with MNS before production begins.

Those agreements will document the project scope, production workflow, approvals, intellectual-property treatment, and reasonable collaboration requirements. They must be consistent with the production benefits promised in these Official Rules.

The winner will not be required to pay MNS’s ordinary initiation or milestone charges, purchase an upgrade, or provide a payment card as a condition of receiving the included production award.

MNS will provide the necessary production agreements promptly after winner verification. MNS and the winner will cooperate in completing onboarding without unnecessary delay.

7.3 Production Deadline

MNS will complete the included comic production within twelve (12) months after all necessary production agreements between MNS and the winner have been signed (“Production Start Date”).

The Production Start Date does not depend on execution of a Legends publishing agreement or later agreements between MNS and its production contractors.

Signing, declining, or negotiating a publishing agreement does not start, postpone, or reset the twelve-month production clock.

MNS and the winner will coordinate production milestones with the intended Baltimore Comic-Con 2027 presentation.

The winner must provide necessary source materials, respond to reasonable requests, and participate in the review and approval process. Any production-schedule extension must be documented in writing and agreed upon by MNS and the winner; it will not arise automatically merely because publishing discussions remain open.

7.4 Rights Clearance and Scope

The winner must own or have sufficient authorization to use and adapt the selected source material, including permission from any relevant co-owner or other rights holder.

MNS is not required to produce unlawful or infringing material. A rights-clearance issue must be addressed before the affected material can be used.

Legends’ editorial preferences are distinct from legal rights-clearance requirements. Declining publisher-requested creative changes does not authorize use of material that the winner has no right to adapt.

The production agreements may establish reasonable revision and approval procedures, but they may not convert the promised production award into a mandatory paid engagement.

8. Intellectual Property, Publicity, and Use of Work

8.1 Entrant Materials

Submitting an entry or describing a story does not transfer ownership of the entrant’s intellectual property to MNS, Legends, or another participating organization.

Information and materials supplied with an entry may be used to administer the Promotion and review the information provided. Entry alone does not authorize independent commercial publication or exploitation of an entrant’s story.

8.2 Winner Ownership

The winner retains 100% ownership of the underlying intellectual property, including the winner’s original story, characters, and source material.

The production agreements will provide for the winner’s ownership of the commissioned comic and cover deliverables through appropriate ownership and assignment provisions. That ownership will not depend on the winner paying the ordinary commercial price of the included production services.

MNS retains ownership of its preexisting trademarks, proprietary production systems, and other materials not created specifically for the winner’s project.

8.3 Legends Publishing Rights

If the winner signs a publishing agreement, Legends will receive the exclusive publishing rights expressly granted in that agreement for its specified term.

An exclusive publishing license is distinct from ownership of the underlying intellectual property. The winner’s ability to publish or license the covered comic during that term will be subject to the executed agreement.

No exclusive publishing rights arise merely from entering or winning the Promotion.

8.4 Winner Publicity

Except where prohibited by law, acceptance of the Prize grants MNS and Legends permission to use the winner’s name, approved biographical information, likeness, and statements concerning the Prize experience to announce the winner and promote the Promotion, the resulting project, and the participating services.

This permission does not authorize false endorsements or materially misleading statements about the winner.

Entrants who do not win do not grant a general publicity license merely by entering.

8.5 Portfolio and Production Documentation

The winner grants MNS a nonexclusive, worldwide, royalty-free license to document the production process and use selected project images, cover images, excerpts, and behind-the-scenes materials for portfolio, case-study, and promotional purposes.

Promotional use must avoid unnecessary disclosure of major spoilers and respect reasonable written launch or licensing blackout arrangements agreed with the winner.

This permission does not grant MNS unrestricted rights to publish, sell, or distribute the complete comic. Any such rights must be separately documented and coordinated with an executed publishing agreement.

9. Taxes and Reporting

The winner is responsible for federal, state, and local taxes lawfully imposed on the winner in connection with accepting or receiving the Prize.

MNS and Legends will obtain appropriate tax documentation and provide information returns or other reports when required by applicable law.

The absence of an advertised dollar amount or a cash payment does not mean that the Prize has no taxable value.

Any required reporting will use the applicable valuation and reporting rules for the benefits provided and the relevant tax year or years. The winner should consult an independent tax adviser concerning individual tax obligations.

No payment to Sponsor is required merely to claim the Prize.

10. General Conditions and Promotion Integrity

Sponsor may take reasonable measures to investigate suspected fraud, verify entry records, enforce the entry limit, and correct demonstrable administrative or technical errors.

Sponsor may disqualify an entrant for material violations of these Official Rules, including deliberate manipulation, fraudulent registrations, or interference with the operation of the Promotion. Sponsor will not arbitrarily reject otherwise valid entries.

If fraud, a material technical failure, or another event beyond Sponsor’s reasonable control compromises the integrity of the Promotion, Sponsor may suspend or take other corrective action only to the extent permitted by applicable law.

Any corrective action must preserve valid entries and the announced selection method to the extent reasonably possible. A technical delay does not authorize accepting additional entries after the published closing time.

If an affected drawing must be repeated, the replacement drawing will use the applicable valid entry pool and the same entry-weighting rules.

Sponsor does not reserve an unrestricted right to change eligibility, reduce earned entries, alter the odds formula, or withdraw the promised Prize after entry.

If an included component becomes unavailable for reasons beyond Sponsor’s reasonable control, Sponsor may provide a reasonably comparable substitute of equal or greater value where lawful, except for declined or unused benefits and event-cancellation circumstances expressly addressed in these Official Rules.

Sponsor’s administrative decisions must be consistent with these Official Rules and applicable law. They do not eliminate any right to seek a remedy that cannot lawfully be waived.

11. Release and Limitations of Liability

To the extent permitted by law, entrants agree to release MNS, Legends, Baltimore Comic-Con, UpViral, and their respective officers, directors, employees, agents, and affiliates from claims arising from participation in the Promotion or acceptance and use of the Prize, except to the extent arising from a released party’s gross negligence, willful misconduct, or other liability that cannot lawfully be released.

This provision does not excuse MNS or Legends from their express Prize commitments.

Sponsor is not responsible for failures of an entrant’s own equipment or connection, inaccurate contact information supplied by the entrant, or unauthorized acts by third parties outside Sponsor’s reasonable control. Material failures affecting the Promotion will be addressed under Section 10.

Nothing in these Official Rules excludes nonwaivable consumer protections or other rights provided by applicable law.

12. Privacy, Communications, and Applicable Law

Personal information will be used to administer the Promotion, confirm entries, maintain entry records, contact and verify the potential winner, fulfill the Prize, and meet applicable legal obligations.

Information may be shared with service providers and participating organizations to the extent reasonably necessary for those purposes. Any additional marketing use or sharing must be consistent with the entrant’s disclosed choices, Sponsor’s applicable privacy notice, and applicable law.

Email confirmation verifies the entrant’s address and completes entry. It does not require the entrant to accept a sales conversation or purchase a service.

Where marketing subscriptions are offered, they must be identified separately from required Promotion communications. Declining or subsequently unsubscribing from optional marketing does not, by itself, invalidate a properly confirmed entry or reduce its drawing weight.

Sponsor will make its applicable privacy notice available through the Promotion Page.

Nothing in these Official Rules represents an exemption from applicable registration, disclosure, reporting, record-retention, or other legal requirements.

13. Platform and Event Disclaimers

UpViral is used as a technology platform for the Promotion. It is not the provider of the Prize and does not assume MNS’s or Legends’ fulfillment obligations.

Except for the roles expressly stated in these Official Rules, the Promotion is not sponsored, endorsed, or administered by Meta, Facebook, Instagram, X, TikTok, or another social-media platform on which it may be mentioned.

To the extent required by the rules of a platform used for the Promotion and permitted by law, entrants release that platform from claims arising from its role as a third-party platform.

Baltimore Comic-Con’s promotional involvement does not make the winner an official convention guest or create a separate obligation for Baltimore Comic-Con to provide admission, travel, lodging, booth space, or other Prize benefits.

Information submitted through the official entry process is collected for Sponsor’s Promotion, including through Sponsor’s service providers, rather than as an entry into a promotion administered by a social-media platform.

14. Governing Law, Disputes, and Document Priority

These Official Rules are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Subject to nonwaivable rights and applicable jurisdictional requirements, disputes concerning entry, winner selection, or entitlement to the Prize will be brought in the appropriate state courts in Volusia County, Florida, or, where federal jurisdiction exists, the United States District Court for the Middle District of Florida, Orlando Division.

These Official Rules govern participation in the Promotion and the minimum Prize benefits awarded.

Separately executed production and publishing agreements may govern their respective performance arrangements and dispute procedures, but they may not retroactively require payment to enter, alter the completed drawing, or eliminate production benefits expressly preserved by these Official Rules.

An unsigned publishing agreement is not binding on the winner.

If a provision of these Official Rules is found unenforceable, it will be limited or severed only to the extent necessary, with the remaining provisions continuing to apply where lawful.

15. Winner Information and Records

To request the verified winner’s first name, last initial, city, and state, email joelrodriguez@metalninjastudios.com with the subject line:

“2026 Concept to Comic Giveaway Winner List”

Requests should be submitted within sixty (60) days after the Promotion ends. A longer request or disclosure period will apply where required by law.

Winner information will be provided after verification is completed. Sponsor may disclose additional winner or Prize information to governmental authorities or others when required by law.

Sponsor will preserve Promotion, entry, drawing, verification, and fulfillment records for the periods required by applicable law.
